Terms of Service

These Terms of Service define the terms by which you may use the www.AgendaSearch.com website and public records database (the "Website") and our related services (the "Services"). This is an agreement between you and AgendaSearch.com Company, a Texas corporation with a principal business address of 3515-B Longmire Dr., PMB 340, College Station, TX 77845 (the "Company"). By using this Website and our Services, you expressly acknowledge that you have read, accept, and agree to be bound by these Terms of Service. You should not use this Website if you do not agree to these terms.

We may modify these Terms at any time without notice. Amendments apply immediately. Your continued use of the Website after any amendments constitutes acceptance. The Privacy Policy posted to our Website also forms part of these Terms of Service.

This Agreement applies to all visitors, registered users, and subscribers who access our Website and Services.

1. Our Website

AgendaSearch provides a searchable database of publicly available Texas government meeting documents — including agendas, minutes, and public notices — sourced from city councils and county commissioners courts subject to the Texas Open Meetings Act.

2. Registration

You do not have to register to visit our Website. In order to view full documents and access other features of our Services, however, you will need to register, create an account, and become a subscriber.

When you register, you will be asked to provide your first and last name, business name, and email address, and to create a password. You should not disclose your password to any third party. You are solely responsible for keeping your password confidential and for all activity that occurs on your account. We will never ask you to send your password via email or to enter it anywhere other than www.AgendaSearch.com. If you suspect unauthorized access, change your password immediately and contact us.

When you subscribe, we ask for a credit card number, expiration date, and security code. Credit card information is transferred through our gateway to our payment processor (Stripe.com). We do not store credit card information on our servers or databases.

All information provided when registering must be truthful and complete. We may suspend or cancel your registration without notice if we believe otherwise, or if you fail to comply with these Terms. Only adults who are at least eighteen (18) years of age are eligible to register and use our Services.

3. Subscription Terms

(a) Access. We grant access to our Services on a limited basis, allowing up to 10 users working within the same organization to access the Website under a single subscription.

(b) License. Upon purchasing a subscription, we grant you a non-transferable, non-exclusive license to: (a) access, use, and display the database on your devices; and (b) download and print individual records from our database for your personal use.

(c) Restrictions. You may not share, rent, resell, lease, sublicense, or otherwise permit any third party to access, use, display, download, or print records from our database. You are also expressly prohibited from compiling or creating derivative works of the database, including creating another database or any compilation of any portion of the public records therein.

(d) Annual Subscription. Subscriptions are billed at a flat annual rate. We accept all major credit cards. No refunds will be made following the expiration of the 60-day money-back guarantee period. In the event of any chargeback, you agree that we may submit the unpaid amount to collections and that you will be solely responsible for all collection costs, including reasonable attorneys' fees.

(e) Money-Back Guarantee. We offer a 60-day money-back guarantee. You may request a refund for any reason during the 60-day period by contacting support@agendasearch.com.

(f) Renewals. Upon expiration of your subscription period, your access will be disabled unless you pay a new annual subscription fee at the then-current rate. We may also offer an automatic renewal option at sign-up, in which case your credit card will be charged the renewal fee automatically.

(g) Cancellation. You may cancel your subscription at any time by contacting support@agendasearch.com. We reserve the right to cancel your subscription at any time if you materially breach any term of these Terms of Service. All cancellations take effect immediately and will suspend your access to the database.

(h) Warranty & Remedies. In the event you are unable to access the Website due to a technical problem on our end, our entire liability shall be limited to providing a pro-rata refund of the unused portion of your subscription, provided that such inability continues for more than 30 consecutive days.

4. Acceptable Use Policy

Our Website and Services may only be used for lawful purposes. We specifically prohibit:

  • Impersonation: Posting or submitting information in which you impersonate any third party or misrepresent your affiliation with another person or entity.
  • Unauthorized Access: Disclosing or sharing your password with any third party or allowing third-party access to password-protected features.
  • Illegal Activity: Using the Website or Services for any illegal purpose.
  • Tampering: Taking any action that disrupts, tampers with, or interferes with the Website's infrastructure, servers, or network.
  • Unauthorized Search Tools: Using any engine, spider, robot, or automated tool to navigate or search the Website other than standard web browsers.
  • Uploading Viruses: Uploading any content that contains viruses, malware, or code designed to disrupt or destroy functionality.
  • IP Infringement: Decompiling, disassembling, copying, duplicating, aggregating, or reverse-engineering any software, content, or materials comprising the Website.
  • Data Mining: Using any automated means to search or mine data from the Website.
  • Scraping: Attempting to scrape or access the Website through automated means.

5. Content Accuracy

Documents in AgendaSearch are sourced from government websites and processed through OCR technology. While we strive for accuracy, we cannot guarantee that all text has been extracted perfectly. Always verify critical information against original source documents. No content on our Website should be construed as legal advice or a professional legal opinion.

6. Intellectual Property

We own and retain all right, title, and interest in the marks, logos, code, arrangement of records in our database, and other proprietary materials comprising our Website and Services (collectively "Intellectual Property"). The government documents indexed in our database are public records and remain in the public domain as required by law.

Except as expressly permitted herein, you may not reproduce, display, copy, republish, upload, transmit, distribute, or create derivative works of any portion of our Website or Services without our express written consent. Using our Intellectual Property on any other website or for any commercial purpose is expressly prohibited.

7. Intellectual Property Infringement & Privacy Concerns

We respect the intellectual property and privacy rights of others. If you have a copyright infringement or privacy concern regarding any public record in our database, contact us at support@agendasearch.com with the following information:

  • The name of the intellectual property owner and a signature of the person authorized to act on their behalf;
  • A description of the intellectual property right claimed to be infringed;
  • A description of where the allegedly infringing item is located on the Website;
  • Your contact information (address, phone, and email); and
  • A statement under penalty of perjury that you are the intellectual property owner or are authorized to act on their behalf.

8. Security

We have implemented commercially reasonable security measures to protect your personal information; however, we cannot guarantee that unauthorized third parties will never be able to defeat those measures. You acknowledge that any personal information you provide to our Website is provided at your own risk.

9. Warranty Disclaimer

Your use of this Website shall be at your sole risk. We expressly disclaim any and all warranties regarding the accuracy, reliability, or quality of any public record in our database. TO THE EXTENT PERMITTED BY LAW, WE EXPRESSLY DISCLAIM ALL WARRANTIES NOT EXPRESSLY STATED IN THESE TERMS, WHETHER EXPRESS OR IMPLIED, INCLUDING THE WARRANTIES OF QUIET ENJOYMENT, NON-INFRINGEMENT, AND ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

10. Limitation of Liability

You agree that the Company will not be liable to you for any indirect, consequential, special, punitive, or exemplary damages arising out of or in connection with your use of this Website or Services, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses (even if we have been advised of the possibility of such damages). Our total liability to you shall in no event exceed the total subscription fees you paid to us. Some jurisdictions do not allow the limitation of liability, so these limitations may not apply to you.

11. Release of Claims

To the maximum extent permitted by applicable law, you hereby release and waive the Company, our officers, employees, independent contractors, representatives, and agents from any and all liability for claims, damages, costs, and expenses of every kind arising from or in any way related to your use of this Website or our Services.

12. Indemnification

By using our Website and Services, you agree to indemnify, defend, and hold harmless the Company and our directors, officers, employees, independent contractors, representatives, and agents against any third-party claim arising from or in any way related to your use of the Website and Services, including any liability or expense arising from claims, demands, losses, damages, costs, or attorneys' fees.

13. Feedback & Idea Submissions

If you provide feedback or submit ideas about our Website or Services, you agree that all such feedback is not subject to any obligation of confidence by us. We may use any such feedback to improve our Website and Services at our sole discretion without any obligation to you. If you submit ideas, you grant us an exclusive, perpetual, royalty-free, worldwide license to use, incorporate, and build upon your submission.

14. Compliance with Applicable Laws

You are solely responsible for complying with all applicable state and federal laws, regulations, and guidelines governing your use of any public record accessed through this Website. You warrant and represent that your use of public records will fully comply with all applicable laws.

15. Governing Law & Dispute Resolution

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Texas, without regard to conflicts of law principles. All disputes arising under this Agreement shall be submitted to binding arbitration in Travis County, Texas under the Commercial Rules of the American Arbitration Association by one mutually agreed-upon arbitrator. Arbitration costs shall be shared equally. The arbitration award shall be final. If judicial enforcement is sought, the prevailing party shall be entitled to costs and reasonable attorneys' fees. All claims must be resolved in accordance with this section.

16. Miscellaneous

We reserve the right to discontinue this Website and Services at any time. We may assign these Terms without prior notice in the event of a merger, acquisition, or sale of our business. If any section of these Terms is held unenforceable, the remaining sections remain in full force. No waiver of any breach shall be deemed a waiver of any subsequent breach. These Terms constitute the entire agreement between you and us with respect to your use of the Website and Services.
